1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nova Finance Inc. ("Nova Finance", "we", "us"). By accessing or using our financial management platform and services (the "Services"), you agree to comply with and be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services. We reserve the right to modify these Terms at any time, and will notify you of material changes via email and in-app notifications.

2. Eligibility and Account Registration

To use Nova Finance, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using financial services under applicable laws
• Provide accurate, complete, and current information during registration
• Maintain the security and confidentiality of your account credentials

You are responsible for all activities that occur under your account. If you suspect unauthorized access, notify us immediately at security@novafinance.tech.

3. Description of Services

Nova Finance provides:

• Account Aggregation: Secure connection to your bank accounts via Plaid
• Transaction Tracking: Real-time synchronization of your financial transactions
• Financial Analytics: Spending insights, budget tracking, and financial trend analysis
• Data Visualization: Interactive dashboards and reports
• Category Management: Customizable transaction categorization

Important: Nova Finance is a financial management tool, not a bank or financial advisor. We do not provide investment advice, tax guidance, or legal counsel. Consult qualified professionals for such services.

4. User Responsibilities and Conduct

You agree to:

• Use the Services only for lawful purposes and in compliance with all applicable laws
• Not attempt to gain unauthorized access to our systems or other user accounts
• Not use automated tools (bots, scrapers) to access the Services
• Not reverse engineer, decompile, or disassemble any part of the Services
• Not transmit viruses, malware, or any malicious code
• Not impersonate any person or entity
• Not interfere with or disrupt the integrity or performance of the Services

Violation of these terms may result in immediate account suspension or termination.

5. Third-Party Services and Integrations

5.1 Plaid

Our Services integrate with Plaid to access your bank account information. By using Nova Finance, you agree to Plaid's End User Privacy Policy and Terms of Service. We are not responsible for Plaid's services or any issues arising from your use of Plaid.

5.2 Stripe

Payment processing is handled by Stripe. You must comply with Stripe's Terms of Service. We do not store your payment card information.

5.3 External Links

Our Services may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of these external sites.

6. Subscriptions, Billing, and Payments

6.1 Subscription Plans

Nova Finance offers free and paid subscription plans. Pricing and features are subject to change with 30 days' notice. Current subscribers will be grandfathered into their existing plan pricing for 90 days after price changes.

6.2 Billing

• Subscriptions are billed monthly or annually based on your selection
• Your payment method will be charged automatically at the start of each billing cycle
• All fees are non-refundable except as required by law or stated in our Refund Policy
• Failed payments may result in suspension of premium features

6.3 Cancellation

You may cancel your subscription at any time through Settings > Subscription. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

7. Intellectual Property Rights

All content, software, code, designs, graphics, logos, and trademarks on Nova Finance are owned by or licensed to Nova Finance Inc. and are protected by copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of the financial data you provide. By using the Services, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Services. We do not claim ownership of your data.

8. Data Accuracy and Disclaimers

While we strive for accuracy, we do not guarantee that:

• Financial data retrieved from your bank accounts via Plaid is complete or error-free
• Transaction categorization is 100% accurate (you can manually adjust categories)
• Analytics and insights are suitable for making financial decisions
• The Services will be uninterrupted, secure, or free from bugs

You are responsible for verifying the accuracy of your financial data and making informed financial decisions.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• NOVA FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR LOSSES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT DUE TO YOUR NEGLIGENCE
• WE ARE NOT LIABLE FOR THIRD-PARTY SERVICES (PLAID, STRIPE, BANKS)

Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so the above may not fully apply to you.

10. Indemnification

You agree to indemnify and hold harmless Nova Finance, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your use or misuse of the Services
• Unauthorized access to your account resulting from your actions or omissions

11. Termination and Suspension

We reserve the right to suspend or terminate your account immediately, without notice, if:

• You violate these Terms
• Your account is used for fraudulent or illegal activities
• We are required to do so by law
• Your payment method fails repeatedly

Upon termination, your right to access the Services ceases immediately. You may delete your account at any time through Settings > Privacy > Delete Account. See our Privacy Policy for data retention after deletion.

12. Dispute Resolution and Arbitration

12.1 Informal Dispute Resolution

Before filing a claim, you agree to contact us at legal@novafinance.tech to attempt to resolve the dispute informally. We will work with you in good faith to reach a resolution within 60 days.

12.2 Arbitration

If informal resolution fails, any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration takes place in your state of residence or remotely via video conference.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive the right to participate in class action lawsuits or class-wide arbitration against Nova Finance.

Exception: You may opt out of arbitration by emailing arbitration-opt-out@novafinance.tech within 30 days of account creation.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of state and federal courts located in Delaware for any disputes not subject to arbitration.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via:

• Email notification to your registered email address
• In-app notification upon your next login
• Prominent notice on our website

Changes take effect 30 days after notification. Continued use of the Services after this period constitutes acceptance of the updated Terms. If you disagree with changes, you may terminate your account.

15. Miscellaneous Provisions

15.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full effect.

15.2 Waiver

Failure to enforce any right or provision of these Terms does not waive our right to enforce such provision in the future.

15.3 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Nova Finance regarding the Services.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor entity.

15.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, internet outages, or government actions.
